2. Timing: The Sweepstakes begins on August 14, 2025 and ends on August 16, 2025 (the “Sweepstakes Period”).

5. Selection of Sweepstakes Prize Winners:  Within a reasonable period following the conclusion of the Sweepstakes Period, Sponsor will randomly select: (i) the winners of the Grand Prize and the Runner Up Prizes from all eligible entries across all participating Sponsor stores, and (ii) the winners of the InStore Prizes from all eligible entries at each participating Sponsor store.  As a condition to receiving the 

Grand Prize, the Peloton Package, and any other prize with an estimated value in excess of $600.00, the potential winner will be required to complete, sign and return, within seven (7) days of the date he/she is notified, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. 4.         Contest Prize: One (1) entrant across all Sponsor’s participating stores will receive a prize consisting of one (1) $500 Natural Grocers Gift Card (the “Contest Prize” or the “prize”).  The Contest Prize is non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. The Contest Prize winner is responsible for all taxes and fees associated with receipt and/or use.

3.         How to Enter:  To enter the Sweepstakes, an entrant must be a member of Sponsor’s {N}power customer loyalty program, which can be joined at no cost at www.naturalgrocers.com/join. Entrants will be able to enter the Sweepstakes by either of the following two (2) methods:

1. Each Qualifying Transaction (as defined herein) made by an {N}power member during the Sweepstakes Period will automatically count as a separate entry in the Sweepstakes by that {N}power member. Entrants are limited to a maximum of ten (10) Qualifying Transactions per day per {N}power member for this method of entry; or

2. {N}power members may complete and submit an entry form online at www. naturalgrocers.com/win-summer-cooler-and-trip during the Sweepstakes Period. Entrants are limited to a maximum of ten (10) online entries per day per {N}power member for this method of entry. Entrants may not use an agency or automated system to enter.

As used herein, a “Qualifying Transaction” shall mean the in-store customer purchase of One Hundred Dollars ($100) or more at a participating Sponsor store during the Sweepstakes Period. 

4.         Sweepstakes Prizes:  Sweepstakes prizes will be awarded as follows:

• Grand Prize. One (1) entrant across all of Sponsor’s participating stores will receive a grand prize consisting of, at Sponsor’s sole and absolute discretion, either (i) a trip to Lake Tahoe (Incline Village, Nevada) with hotel accommodations for two guests for three (3) nights, including domestic air travel to Nevada and resort credits for the stay (maximum total value of such package: $2,500.00); or (ii) $2,500.00 in cash (such prize, the “Grand Prize”). 

• Runner Up Prizes. At each participating Sponsor store, one (1) entrant will receive a prize consisting of one (1) $50 Natural Grocers gift card (equal to the price of one (1) Natural Grocers cooler bag and beverages, plus tax) (each such prize, a “Runner Up Prize”).   

(the Grand Prize and Runner Up Prizes may hereafter be referred to as a “Sweepstakes Prize” or “prize”). Sweepstakes Prizes are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Winners are responsible for all taxes and fees associated with prize receipt and/or use. The odds of winning a Sweepstakes Prize depend on the total number of eligible entries received.

5.         Selection of Sweepstakes Prize Winners:  Within a reasonable period following the conclusion of the Sweepstakes Period, Sponsor will randomly select: one (1) total Grand Prize winner from all eligible entrants across all of Sponsor’s participating stores; and one (1) Runner Up Prize winner for each participating Sponsor store from all eligible entries for each such store. Thereafter, Sponsor will notify the selected Grand Prize winner that they are a potential Grand Prize winner. As a condition to receiving the Grand Prize, the potential winner must complete, sign and return, within seven (7) days of the date he/she is notified, an IRS Form W-9 (including the prize winner’s social security number, which will be used only for the purpose of reporting the winner’s prize earnings to the Internal Revenue Service as required by law). Additionally, the potential Grand Prize winner must provide a valid U.S. shipping address within an Eligible State that receives mailings by USPS and overnight courier; the failure to provide such a valid mailing address, or the rejection of attempted delivery of the Grand Prize at the provided address, may in Sponsor’s sole discretion result in a forfeiture of the prize and a selection of a new winner by Sponsor. Sponsor will notify each Runner Up Prize winner that their Runner Up Prize is available for pick up at the store at/for which the Runner Up Prize winner submitted his/her entry. Each Runner Up Prize winner must pick up their Runner Up Prize in person at such store within thirty (30) days after such notification; should they fail to do so they will forfeit their prize and an alternate winner will be selected at random. The selection of the Prize winners is final and binding in all matters related to the Sweepstakes. ALL POTENTIAL SWEEPSTAKES WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE SWEEPSTAKES SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.  It is the entrant’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules.

7.         General Conditions:  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, the Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.

8.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”):  (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose.  By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, useor misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension. 

9.         Disputes:  Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).

2.         Timing:  The Contest begins on May 30, 2025 and ends on June 21, 2025 (the “Contest Period”).

3.         How to Enter:  Entrants will be able to enter the Contest by submitting an entry form at a participating Natural Grocers store during the Contest Period using the form found in the print version of the June 2025 edition of Sponsor’s Health Hotline® magazine (the “June Health Hotline”). The only permissible entry form is the entry form found in the print version of the JUNE Health Hotline. There is a maximum of one (1) entry per person during the Contest Period. 

4.         Contest Prizes:  Two (2) total prizes will be awarded as follows:

• One (1) total entrant across all of Sponsor’s participating stores will receive a prize consisting of, in Sponsor’s sole and absolute discretion, either: one (1) Blackstone 28” XL Omnivore Griddle with Hood (approximate retail value: $400) (the “Griddle”), and one (1) Blackstone Grilling Kit (approximate total retail value: $50); or (b) $450.00 in cash (the actual prize awarded, hereafter collectively, the “Prize” or “prize”); and

• One (1) total entrant across all of Sponsor’s participating stores will receive a $500 Natural Grocers Gift Card.

5.         Selection of Contest Prize Winner:  Within a reasonable period following the conclusion of the Contest Period, Sponsor will randomly select two (2) Prize winners from all eligible entries. To be eligible to win a Prize, the entry form submitted by the winner must correctly state the number of BURGER images appearing in the JUNE Health Hotline EXCLUDING THE FAMILY OF 4 BURGERS WITH ARMS AND LEGS ON PAGE 18. In the event no entry (or fewer than two entries) correctly states the number of Burger images appearing in the Health Hotline, Sponsor will randomly select the Prize winner from all valid entries closest to the actual number (without going over). The selection of Prize winner is final and binding in all matters related to the Contest. Should a potential Prize winner fail to verify their information as requested by Sponsor within such ten (10) day period, his/her prize will be forfeited and an alternate Prize winner will be selected at random. 

Following such verification, the Prize will be shipped to the Prize winner’s valid mailing address. To be valid, a Prize winner’s address must accept package deliveries by USPS, UPS and Federal Express and must be located in an Eligible State. If the Prize is rejected or returned following attempted delivery, Sponsor may, in its sole and absolute discretion, void such Prize winner’s selection and select a new Prize winner. The Prize winner is responsible for providing a valid mailing address to Sponsor.

9.         Release/Limitations of Liability:  Each entrant agrees that Sponsor, its parent company, subsidiaries, and all of their respective directors, officers, employees, representatives and agents (collectively, the “Promotion Entities”): (i) shall not be responsible or liable for any losses, damages or injuries of any kind resulting from entrant’s participation in the Sweepstakes or any Sweepstakes-related activity, or from entrant’s acceptance, receipt, possession and/or use or misuse of any prize or participation in any prize-related activity and (ii) have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. By winning a prize, each winner agrees to release and hold harmless the Promotion Entities from and against any claim or cause of action, including, but not limited to, personal injury, death or damage to or loss of property, including direct, indirect, incidental, consequential or punitive damages arising, in whole or in part, out of such winner’s participation in the Sweepstakes or such winner’s receipt, use or misuse of any prize. Sponsor reserves the right in its sole discretion to cancel, modify or suspend this Sweepstakes at any time, with or without notice, for any reason or no reason, and Sponsor disclaims all liability in connection with such cancellation, modification or suspension.

10.       Disputes:  Except where prohibited by law, each entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state or federal courts in Denver, Colorado and hereby submit to the jurisdiction of such courts; (ii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (iii) under no circumstances will any entrant be permitted to obtain awards for, and each entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Colorado, without giving effect to any choice of law or conflict of law rules (whether of the State of Colorado or any other jurisdiction).

11.       Precedence. In the event of any conflict with any Sweepstakes details contained in these Official Rules and Sweepstakes details contained in other Sweepstakes materials (including, without limitation, any point of sale, online or print advertising), the details of the Sweepstakes as set forth in these Official Rules shall prevail.

12.       Winners List/Official Rules: To obtain a list of the Sweepstakes Prize winners or a copy of these Official Rules, send a self-addressed stamped envelope to Sponsor at the address provided below.  All such requests must be received within ninety (90) days after the Sweepstakes Period, or such period permitted by applicable law, if longer. Please allow up to ten (10) business days for Sponsor to process your request. Where required by law, residents may omit return postage with Official Rules requests.

1.         Eligibility:  The Natural Grocers June 2025 {N}power Member Shop, Solve and Win Sweepstakes (the “Sweepstakes”) is open only to legal residents of the following states who are members of the Natural Grocers {N}power customer loyalty program and are at least 18 years old at the time of entry: Arizona, Arkansas, Colorado, Idaho, Iowa, Kansas, Louisiana, Minnesota, Missouri, Montana, Nebraska, Nevada, New Mexico, North Dakota, Oklahoma, Oregon, South Dakota, Texas, Utah, Washington and Wyoming (each, an “Eligible State”). Employees of Vitamin Cottage Natural Food Markets, Inc. (“Sponsor”) and its parent, affiliates and subsidiaries, and the immediate family (spouses, parents, siblings and children) and household members of such employees, are not eligible. Subject to all applicable federal, state and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and the decisions of the Sponsor, which are final and binding in all matters related to the Sweepstakes. Winning a prize is contingent upon fulfilling all requirements set forth herein.

2.         Timing:  The Sweepstakes begins on June 1, 2025 and ends on June 30, 2025 (the “Sweepstakes Period”).

3.         How to Enter:  To enter the Sweepstakes, an entrant must be a member of Sponsor’s {N}power customer loyalty program, which can be joined at no cost at www.naturalgrocers.com/join. The entrant must access a Shop, Solve and Win puzzle (the “Puzzle”) received by {N}power program email or through the {N}power mobile application.

Grand Prize Entry: Each Puzzle contains squares specifying an amount of money an entrant must spend on qualifying purchases, required visits or in-store shopping during the Sweepstakes Period at a participating Natural Grocers store (such individual transaction or series of transactions, each a “Qualifying Transaction”). Each Qualifying Transaction corresponds with a letter. 

If a letter corresponding to the Qualified Transaction forms part of the Puzzle, the corresponding letter(s) of the Puzzle will be revealed at the time such purchase is made, provided that entrants enter their {N}power number at check-out upon making each Qualified Transaction. Once the entrant makes Qualified Transactions corresponding to all letters of the Puzzle or otherwise solves the Puzzle by filling in all missing letters, the entrant will have completed Shop, Solve and Win in order to receive a Sweepstakes Prize (defined below).  An {N}power member may also enter by mailing a written request for the Puzzle card and hint to: {N}power rewards at 12612 W Alameda Pkwy, Lakewood, CO 80228.

Secondary Prize Entry: {N}power members will receive a Puzzle clue at the beginning of the Sweepstakes Period, and may submit an answer to the Puzzle during the first seven (7) days of the Sweepstakes Period. Any entrant who correctly solves the Puzzle during this period will each receive a Secondary Prize. An entrant who submits a Secondary Prize Entry may also enter to win a Grand Prize by fulfilling the requirements set forth above for Grand Prize Entry.  

4.         Sweepstakes Prize:  Entrants who fulfill the Grand Prize Entry requirements set forth above to solve the Puzzle will each receive a $5 reward, redeemable at any Natural Grocers store (a “Grand Prize”); and Entrants who fulfill the Secondary Prize Entry requirements set forth above to solve the Puzzle will each receive a $2 reward (a “Secondary Prize”, and each such prize, a “Sweepstakes Prize”). Sweepstakes Prizes will not be awarded as cash, are non-transferable and no substitutions will be made, except as provided at Sponsor’s sole discretion. Limit one (1) Grand Prize and one (1) Secondary Prize per entrant.

5.         Selection of Sweepstakes Prize Winner:  The Sweepstakes Prize will be credited to the entrant’s {N}power account on July 2, 2025. It is the entrant’s responsibility to ensure that he/she has complied with the conditions contained in these Official Rules. 

6.         Publicity:  Except where prohibited by law, participation in the Sweepstakes constitutes a winner’s consent in perpetuity to Sponsor’s and its agents’ use of the winner’s name, likeness, photograph, voice, opinions, statements and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

7.         General Conditions:  Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Sweepstakes; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to annoy, abuse, threaten or harass any other person. Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. Subject to any governmental approval which may be required, Sponsor reserves the right, without prior notice and at any time, to terminate the Sweepstakes, in whole or in part, or modify or suspend the Sweepstakes in any way, if it determines, in its sole discretion, that the Sweepstakes is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions have destroyed or severely undermined the integrity and/or feasibility of the Sweepstakes. In the event Sponsor is prevented from continuing with the Sweepstakes as contemplated herein by any event beyond its control, or any federal state or local government law, order, or regulation, or order of any court or jurisdiction, the Sponsor shall have the right to modify, extend, suspend or terminate the Sweepstakes.
